All information, plan and specifications are believed to be accurate at the time of publication and may be subject to changes as may be required or approved by the developer or the relevant authorities .The Sales and Purchase Agreement shall form the entire agreement between the developer and the purchaser and shall no way be modified by any statements or representations.
* Please note that as the date given above is only an estimate (the “Estimated Date”), it is subject to change and is furnished solely for reference. Depending on the progress of construction and for various other reasons, service of the TOP Notice may be earlier or later than the Estimated Date. For avoidance of doubt, the provision of the Estimated Date does not vary the dates of terms set out in the Sale and Purchase Agreement in any way and is without prejudice to the provisions of the Sale and Purchase Agreement. In any case, we disclaim all liabilities for any errors or inaccuracies and we shall not be liable to you or any other parties for any reliance on the Estimated Date.”
In this regard, the “TOP Notice” referred to above would be our notice to your solicitors enclosing a copy of the TOP and calling for the 25% TOP progress instalment under clause 5.1.3 of the S&P Agreement.
